New threshold for Supervisory Board functions to be exercised by a single person in Sociétés Anonymes (public limited companies)
In accordance with Article L225-58 of the French Commercial Code, “In sociétés anonymes whose capital is less than a threshold set by decree, the functions vested in the Management Board may be performed by a single person.”
Decree no. 2025-818 of August 13, 2025 on the liquidity of securities admitted to a growth market for small and medium-sized enterprises and on the governance of public limited companies changed this threshold, which until August 15, 2025 had been set at 150,000 euros.
Under the new article D225-58-1 of the French Commercial Code, this threshold is now set at 250,000 euros.
This decree is part of Law no. 2024-537 of June 13, 2024 aimed at increasing business financing and the attractiveness of France.
