Act no. 2025-532 of June 13, 2025 amended the system of penalties for non-compliance with the obligation to declare and update information relating to beneficial owners, adding to the criminal penalties a mechanism for automatic deregistration if the company fails to meet its obligations within 3 months of a formal notice from the registrar or an injunction from the President of the Court to regularize its information (C. mon. fin. art. L 561-47, L 561-47-1, and art. L 561-48).
Article L.561-45-1 of the French Monetary and Financial Code requires companies whose securities are not admitted to trading on a regulated market and other listed entities “to obtain and maintain accurate and up-to-date information on their beneficial owners”.
The law thus reiterates the importance for companies to set up a regular process for verifying and updating the register of beneficial owners.
